Terms of Service

1. Acceptance of Terms

By accessing or using the Lyca Technologies platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including account administrators, developers, and any other individuals granted access by the subscribing organisation.

2. Description of Service

Lyca Technologies Private Limited provides software development and communication services, including a WhatsApp Business API for notifications, OTPs, and two-way messaging, a transactional Email API, and related tools for integrating reliable messaging into your products and operations.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice, except in cases of emergency or legal requirement. Use of the WhatsApp Business Platform is additionally subject to Meta's applicable policies.

3. Account Registration and Responsibilities

To use Lyca Technologies, you (or your organisation) must register and create an account. You are responsible for:

• Providing accurate and complete information during registration and keeping it updated
• Maintaining the confidentiality of your account credentials and API keys
• All activities that occur under your account
• Ensuring that all users within your organisation comply with these Terms
• Notifying us immediately of any unauthorised use of your account at security@lycatechnologies.com

You may not share your account credentials with unauthorised individuals or transfer your account to another party without our prior written consent.

4. Subscription and Payment

Access to paid features of Lyca Technologies requires a paid subscription or usage-based billing. By subscribing, you agree to pay the applicable fees as outlined on our pricing page or in an agreed order form. All fees are quoted in Pakistani Rupees (PKR) unless otherwise stated, and are exclusive of applicable taxes. Pass-through charges (such as WhatsApp conversation fees charged by Meta) may apply in addition to our fees.

Subscriptions may be billed monthly or annually in advance, or according to usage. Payment must be received before the start of each billing period where applicable. If payment is not received within 7 days of the due date, we reserve the right to suspend access to your account.

All fees are non-refundable except as required by applicable law or as expressly stated in a written refund policy. We reserve the right to change our pricing with 30 days advance notice.

5. Acceptable Use

You agree to use Lyca Technologies only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable laws or regulations of Pakistan
• Transmit any material that is defamatory, offensive, spam, or otherwise objectionable
• Message recipients without the consent required by applicable law and platform rules (including WhatsApp Business Platform policies)
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Use the Service to store or transmit malicious code or viruses
• Engage in any activity that disrupts or interferes with the Service or servers
• Use the Service to collect or harvest personal data of individuals without their consent
• Resell, sublicense, or commercially exploit the Service without our written permission

6. Data Ownership and Privacy

You retain full ownership of all data that you input into or transmit through the Lyca Technologies platform, including message content, recipient lists, and templates ("Customer Data"). We do not claim any ownership rights over Customer Data.

By using the Service, you grant Lyca Technologies a limited licence to access, process, and store Customer Data solely for the purpose of providing the Service to you.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

Lyca Technologies and all content, features, and functionality of the Service — including but not limited to software, design, text, graphics, and logos — are owned by Lyca Technologies Private Limited and are protected by intellectual property laws of Pakistan and applicable international treaties.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your organisation's internal purposes. You may not reproduce, distribute, modify, create derivative works of, or otherwise exploit the Service or any part of it without our prior written consent.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Lyca Technologies Private Limited disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any losses resulting from unauthorised access to your data caused by factors outside our reasonable control, or for delivery failures attributable to third-party platforms (including Meta / WhatsApp).

9. Limitation of Liability

To the maximum extent permitted by applicable law, Lyca Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

In no event shall Lyca Technologies Private Limited's total liability to you for any claims arising out of or related to these Terms or the Service exceed the total amount paid by you to Lyca Technologies Private Limited in the 12 months preceding the claim.

10. Termination

Either party may terminate the subscription at any time. Upon termination:

• Your access to the Service will be suspended at the end of the current billing period (or immediately for usage-based plans, once termination is confirmed)
• You may request a full export of your data within 30 days of termination
• We will permanently delete your data within 90 days of account closure

We reserve the right to terminate or suspend your account immediately, without prior notice, if we determine that you have violated these Terms or that your use poses a risk to the platform or other users.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Karachi, Sindh, Pakistan.

12. Changes to These Terms

We may revise these Terms at any time. We will provide at least 30 days notice of material changes by posting a notice on the platform and notifying the primary account administrator by email. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance.
